Licensed Enrolled Agents - Nationwide Virtual Service

Wyoming LLC formation for non-US residents

Federated Tax helps non-US founders prepare and file a Wyoming LLC, organize the operating agreement, and apply for an Employer Identification Number without an SSN. The service is designed for owners who need formation documents and an EIN path coordinated with future U.S. tax filings.

Every Wyoming LLC must maintain a registered agent with a physical address in the state. Federated Tax does not provide registered agent service or an address. The owner must appoint a qualified third-party registered agent before the formation filing is submitted.

What You Get

What is included in LLC formation support?

The formation engagement can include a business-name check, preparation and filing of the Articles of Organization, an operating agreement based on the approved scope, and coordination of the EIN application. Federated Tax also explains the recurring federal and state filings that commonly affect a foreign-owned U.S. LLC.

The service does not include a registered agent, legal address, bank approval, immigration advice, or legal representation. If the entity requires legal advice beyond tax and filing support, the owner should consult a qualified attorney.

Preparation Checklist

What does a non-US owner need before filing?

The intake normally requires the proposed LLC name, the owner's legal name and foreign address, passport identification, ownership details, business purpose, and contact information. Before filing, the owner must also select an independent registered agent that is authorized to serve in Wyoming and obtain the exact agent name and address for the state form.

A Social Security Number is not required to own a Wyoming LLC. The filing information must still be accurate and consistent across the state documents, operating agreement, EIN application, banking package, and tax records.

How It Works

How does the formation and EIN process work?

Federated Tax reviews the intake, confirms the approved filing scope, and prepares the state formation documents using the third-party registered agent information supplied by the owner. After the state accepts the LLC, Federated Tax prepares Form SS-4 and the supporting information needed to request an EIN for a foreign owner who cannot use the IRS online application.

State and IRS processing times can change, and neither state approval nor EIN issuance is guaranteed by a specific date. Federated Tax provides status updates for the filings included in the engagement and delivers the completed formation and EIN documents when issued.

Compliance Support

What filings come after the LLC is formed?

Formation does not replace ongoing compliance. A Wyoming LLC generally has a state annual report obligation, and a foreign-owned disregarded LLC may need a pro forma Form 1120 with Form 5472 when the reporting rules apply. The owner may also have U.S. income tax obligations depending on activities, income source, elections, and tax residency.

Federated Tax offers separate support for annual report filing, Form 5472, Form 1040-NR tax preparation, and a bank-ready EIN and document package. Each service has its own scope and fee.

Pricing Clarity

How much does LLC formation cost?

Federated Tax provides a written flat-fee quote for the approved formation, operating-agreement, and EIN scope. Wyoming filing fees, third-party registered agent fees, expedited state charges, and separate compliance services are identified outside the Federated Tax service fee. No registered agent renewal is billed by Federated Tax.

FAQ

Common questions about forming a U.S. LLC

Can a non-US resident own a Wyoming LLC?

Yes. U.S. citizenship or residency is not generally required to own a Wyoming LLC. The owner must still provide accurate identity and ownership information and meet the entity’s federal and state filing obligations.

Does Federated Tax provide a registered agent or U.S. address?

No. The owner must appoint a qualified third-party registered agent with a physical Wyoming address. Federated Tax uses the agent information supplied by the owner when preparing the formation filing.

Can I obtain an EIN without an SSN?

A foreign responsible party without an SSN or ITIN may still request an EIN using the applicable Form SS-4 process. Federated Tax prepares the EIN application after confirming the entity and responsible-party information.

Does formation include Form 5472 or an annual report?

No. Formation, annual report filing, and federal information returns are separate services. Federated Tax identifies the likely follow-up obligations and provides a separate scope when additional filing support is requested.

Does forming an LLC guarantee a U.S. bank account?

No. Each financial institution applies its own eligibility, identity, address, and compliance rules. Federated Tax can prepare the EIN and entity-document package, but the owner submits the application and the institution decides whether to approve it.
